A sole trader with small-business status pays 1% of turnover until it passes GEL 500,000 a year, and answers with personal assets. An LLC pays 15% on profit, and only when the owners take dividends, while the founders' liability is limited to what they put in. An LLC can have several founders; a sole trader is one person.

How long does registering an LLC actually take?
Filed in person at the House of Justice the procedure is quick — the certificate is usually issued within one working day. Filed remotely by power of attorney it officially takes about 5 days, and posting the original power of attorney by courier can add another 5-7.
Do I need a Georgian partner or director?
No. 100% foreign ownership is allowed with no Georgian partner and no nominee director — there are no nationality restrictions on founders or directors.
Are the owners of an LLC public?
Yes. Unlike a joint-stock company, where shareholders are not published, an LLC's founders and directors are open in Georgia's public register of legal entities.
Can the virtual IT zone or free industrial zone regimes be arranged remotely?
No. By power of attorney, without being there, you can register only a classic LLC or sole trader. Virtual zone or free industrial zone status requires a visit to Georgia.
What's the difference between registering a new LLC and buying a ready-made company?
In an LLC the founders' liability is limited to their contribution rather than their personal assets. Buying an already registered company with an open bank account is sometimes considered as an alternative — it can be faster when the bottleneck is the account.
